Job Description

Duties

  • Assist the Group Organisation Administrative assistant in making sure efficient business oversight procedures and adherence with statutory and compliance-related obligations across the Group and its subsidiaries.
  • Organize and record Board, Board Board, and General Sessions, which includes getting ready meeting notices, collating and circulating board packs, participating sessions, recording premium quality minutes, and tracking client engagement actions.
  • Preserve and routinely modify statutory registers and the corporate adherence calendar, making sure prompt filings and warnings for key compliance initiatives.
  • Organize and file statutory returns and disclosures with compliance-related bodies which includes the Corporate Affairs Fee (CAC), Securities and Exchange Fee (SEC), and Nigerian Exchange Group (NGX) in line with compliance-related timelines.
  • Help in the comprehensive organizing and implementation of the Yearly General Meeting (AGM), which includes project setup of the notice of meeting, shareholder communications, and relation with registrars and service vendors.
  • Offer compliance and managerial assist in engagement to Board and Board reviews, regulatory framework assessments, and execution of Board decisions.
  • Assist the orientation, induction, and uninterrupted education of directors, which includes the project setup of induction materials and development plans.
  • Carry out preliminary legal & regulatory analysis to assist secretariat processes and consultative compliance.
  • Coordinate with external counsel, registrars, and other service vendors on business oversight and legal adherence matters.
  • Assist the management of compliance recordkeeping which includes Board outcomes, regulatory framework archives, charters, and corporate filings.

Credentials

  • A academic qualification at at least second-class or its equivalent Law or law-associated course. A MSC is desirable with 10-12years of expertise.
  • Admitted to the Nigerian Bar Affiliation
  • Demonstrated expertise in a minimum of one of our financial funding sectors: power, hospitality, petroleum sector, or energy is a plus.
  • Deep understanding of business oversight principles, rules, and adherence qualifications for publicly quoted companies.
  • Expertise possessing applicable lawful frameworks and industry procedures within any of our financial funding sectors.
  • An in-house Organisation Secretarial/Compliance department of a public listed organisation, at a mid-advanced position.
  • 12 years relatable expertise, of which 5 must comprise of Board relation and a robust concentration on operating with publicly quoted companies.
  • Help in the synchronization and monitoring of secretarial processes for subsidiaries inside the Transcorp Group to guarantee standardization and alignment with group compliance qualifications
